Fairshot — Terms of Service

1. Introduction and Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and [FAIRSHOT LEGAL ENTITY NAME], a company organized under the laws of [JURISDICTION] (“Fairshot,” “we,” “us,” or “our”), governing your access to and use of the website located at www.fairshot.xyz, and any related interfaces, applications, APIs, and services (collectively, the “Interface”).
By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, you must not access or use the Interface.
IMPORTANT: THESE TERMS CONTAIN A CLASS ACTION WAIVER (SECTION 16). PLEASE READ CAREFULLY.
Plain-Language Disclaimer — Please Read This First
Before the legal language below, here is what Fairshot is and is not, in plain words:
Fairshot is a grassroots, independent, community-driven project. It is built and maintained by a small team, not by a bank, exchange, or large company. It is experimental software and should be treated as such.
Fairshot is not affiliated with, endorsed by, or sponsored by Robinhood Markets, Inc. or any of its affiliates. “Robinhood Chain” refers to the underlying blockchain network only. All trademarks belong to their respective owners.
This is not a place to gamble money you cannot afford to lose. Newly launched tokens are among the most volatile and speculative assets in existence. Most lose most or all of their value. Never commit rent money, savings you depend on, or borrowed funds. If losing the full amount would hurt you, do not commit it.
Our purpose is to give creators and communities fair mechanics — transparent launches with no presales, no hidden insider allocations, and equal terms for everyone. Fair mechanics do not mean profitable outcomes. A fair launch can still go to zero.
Nobody at Fairshot will ever tell you what to buy, promise returns, or manage money for you. We do not review, endorse, or vouch for any token on the platform. Anyone claiming otherwise is not us.
You are in control, and you are responsible. This is self-custodial software. Your keys, your transactions, your decisions. We cannot reverse mistakes, recover lost funds, or undo trades.
If any of the above is not acceptable to you, do not use Fairshot.
2. Definitions
- “Protocol” means the open-source smart contracts deployed on the Robinhood Chain (and any other supported blockchain networks) that enable the creation, issuance, and trading of digital tokens via bonding curve mechanics.
- “Interface” means the website and front-end applications operated by Fairshot that facilitate interaction with the Protocol.
- “Digital Assets” means any cryptographic tokens, coins, or digital assets, including tokens created through the Protocol.
- “Wallet” means a self-custodial cryptographic wallet controlled solely by you.
- “Creator” means any User who deploys or launches a token through the Interface.
3. Nature of the Services — Non-Custodial Interface
3.1. Fairshot provides a non-custodial interface to the Protocol. We do not, at any time, custody, hold, control, or take possession of your Digital Assets or private keys.
3.2. All transactions are executed directly by you through your Wallet and are recorded on a public blockchain. Fairshot cannot reverse, cancel, modify, or refund any transaction.
3.3. The Protocol consists of autonomous smart contracts. Fairshot does not control the Robinhood Chain or any underlying blockchain network and makes no guarantee regarding their continued operation.
3.4. Fairshot is not a bank, custodian, exchange, broker-dealer, money transmitter, money services business, investment adviser, or financial institution of any kind, and is not registered or licensed as such in any jurisdiction.
4. Eligibility and Restricted Persons
4.1. You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to enter into these Terms.
4.2. You may not access or use the Interface if you are:
(a) located in, incorporated in, or a resident of any jurisdiction where use of the Interface would be illegal or where we, in our sole discretion, elect to prohibit use, including the United States, and comprehensively sanctioned territories including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
(b) a person or entity subject to sanctions administered by the United Nations, the European Union, the U.S. Office of Foreign Assets Control (OFAC), the UK Office of Financial Sanctions Implementation (OFSI), or any other applicable sanctions authority; or
(c) using the Interface on behalf of any person or entity described in (a) or (b).
4.3. You may not use a virtual private network (VPN), proxy, or other means to circumvent geographic restrictions.
4.4. You represent and warrant on an ongoing basis that you satisfy all eligibility requirements each time you access the Interface.
5. No Investment Advice; No Offering
5.1. Nothing on the Interface constitutes, or should be construed as, financial, investment, legal, tax, or trading advice, or a recommendation, solicitation, or offer to buy or sell any Digital Asset or security.
5.2. Tokens created or traded through the Interface are not offered, endorsed, sponsored, vetted, or approved by Fairshot. The appearance of any token on the Interface does not imply any assessment of its quality, legality, or value.
5.3. You are solely responsible for determining whether any transaction is appropriate for you based on your personal objectives, financial situation, and risk tolerance, and for complying with all laws applicable to you, including tax obligations.
6. Assumption of Risk
By using the Interface, you acknowledge and accept, without limitation, the following risks:
6.1. Total loss. Digital Assets, particularly newly launched tokens, are extremely volatile and speculative. You may lose the entire value of anything you commit. Most tokens launched on launchpad platforms lose most or all of their value.
6.2. Smart contract risk. The Protocol and any tokens may contain bugs, vulnerabilities, or exploits that result in partial or total loss of funds.
6.3. No recourse. Blockchain transactions are irreversible. Errors in transaction details, phishing, key compromise, or interaction with malicious contracts may result in permanent loss.
6.4. Third-party conduct. Creators and other Users may engage in fraudulent, manipulative, or illegal conduct, including “rug pulls,” misrepresentation, and market manipulation. Fairshot does not and cannot verify the identity, intentions, or claims of any Creator.
6.5. Regulatory risk. The legal and regulatory treatment of Digital Assets is uncertain and evolving. New laws, regulations, or enforcement actions may adversely affect the Interface, the Protocol, or any Digital Asset, including rendering them unlawful in your jurisdiction.
6.6. Network risk. Congestion, forks, outages, validator or sequencer failures, or discontinuation of the Robinhood Chain or other supported networks may prevent or delay transactions.
6.7. No deposit insurance. Digital Assets are not legal tender and are not covered by deposit insurance or investor compensation schemes.
6.8. Experimental, grassroots software. The Interface and Protocol are developed and maintained by a small independent team with limited resources. Features may change, break, or be discontinued at any time. The project may not achieve its goals and may cease operating entirely.
6.9. No affiliation with Robinhood. Fairshot is an independent project and is not affiliated with, endorsed by, sponsored by, or connected to Robinhood Markets, Inc. or any of its subsidiaries or affiliates. References to the “Robinhood Chain” describe only the blockchain network on which the Protocol is deployed. Robinhood bears no responsibility for the Interface, the Protocol, or any token launched through them.
6.10. Not gambling; not an investment product. The Interface is a tool for creating and trading tokens. It is not a gambling service, investment fund, savings product, or income scheme, and should never be used with funds you cannot afford to lose entirely.
7. Token Creation — Creator Obligations
If you launch a token through the Interface, you additionally represent, warrant, and agree that:
7.1. You have all rights necessary to the name, ticker, images, and content associated with your token, and your token does not infringe any third party’s intellectual property, publicity, or other rights.
7.2. Your token is not, and will not be marketed as, a security, derivative, or other regulated financial instrument in any relevant jurisdiction, and you will not make statements creating an expectation of profit derived from the efforts of yourself or others.
7.3. You will not use the token launch to conduct any fraudulent scheme, including pump-and-dump schemes, undisclosed insider allocations, or misleading promotion.
7.4. You are solely responsible for all legal, regulatory, and tax consequences of your token launch in every jurisdiction where the token is offered or traded.
7.5. Fairshot may, in its sole discretion, remove, hide, or restrict any token’s visibility on the Interface without notice, without affecting the token’s on-chain existence.
8. Prohibited Conduct
You agree not to:
(a) violate any applicable law or regulation, including securities, commodities, anti-money-laundering, counter-terrorist-financing, and sanctions laws;
(b) engage in market manipulation, including wash trading, spoofing, layering, front-running, or coordinated pump-and-dump activity;
(c) use the Interface to launder money or finance illegal activity;
(d) infringe intellectual property or impersonate any person, brand, or project;
(e) upload or link to content that is illegal, defamatory, hateful, or sexually exploitative, or that involves minors in any way;
(f) interfere with, disrupt, or attempt to exploit the Interface or Protocol, including via bots that degrade service, denial-of-service attacks, or exploitation of vulnerabilities;
(g) circumvent geographic or access restrictions;
(h) scrape or harvest data from the Interface for competing commercial purposes without consent.
9. Intellectual Property
9.1. The Interface, including the Fairshot name, logo, arrow/fletching marks, design, text, and software (excluding open-source components and User content), is owned by Fairshot or its licensors and protected by intellectual property laws.
9.2. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Interface for its intended purpose.
9.3. By submitting content (token names, images, descriptions), you grant Fairshot a worldwide, royalty-free, sublicensable license to host, display, reproduce, and distribute that content in connection with operating and promoting the Interface.
10. Third-Party Services
The Interface may integrate or link to third-party services, including wallets, block explorers, price oracles, RPC providers, and the Robinhood Chain itself. Fairshot does not control and is not responsible for any third-party service. Your use of third-party services is governed by their own terms.
11. Fees
11.1. Fairshot may charge fees for token creation, trading, or other services, as displayed in the Interface at the time of the transaction. Fees are subject to change.
11.2. You are additionally responsible for all blockchain network (gas) fees. All fees are non-refundable.
12. Taxes
You are solely responsible for determining, reporting, and paying all taxes arising from your use of the Interface, in every applicable jurisdiction.
13. Disclaimer of Warranties
THE INTERFACE AND PROTOCOL ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. FAIRSHOT DOES NOT WARRANT THAT THE INTERFACE OR PROTOCOL WILL BE SECURE, ERROR-FREE, OR FREE OF VIRUSES OR EXPLOITS.
14. Limitation of Liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIRSHOT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DIGITAL ASSETS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE INTERFACE OR PROTOCOL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIRSHOT’S AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO FAIRSHOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
14.3. Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Fairshot and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) your use of the Interface; (b) your violation of these Terms or any law; (c) any token you create or promote; or (d) your violation of any third party’s rights.
16. Dispute Resolution; Class Action Waiver
16.1. Governing law. These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-law principles.
16.2. Informal resolution. Before initiating any proceeding, you agree to contact us at fairshotxyz@proton.me and attempt in good faith to resolve the dispute for at least 30 days.
16.3. Class action waiver. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
16.4. Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
17. Suspension and Termination
We may suspend, restrict, or terminate your access to the Interface at any time, with or without cause or notice, including where we believe you have violated these Terms or where required by law. Sections that by their nature should survive termination (including Sections 6, 9, 13–16) shall survive.
18. Changes to the Terms
We may modify these Terms at any time by posting an updated version with a revised “Last Updated” date. Your continued use of the Interface after changes take effect constitutes acceptance. Material changes may be highlighted through the Interface.
19. Miscellaneous
19.1. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fairshot regarding the Interface.
19.2. Severability. If any provision is held unenforceable, the remainder shall remain in effect.
19.3. No waiver. Failure to enforce any provision is not a waiver.
19.4. Assignment. You may not assign these Terms; we may assign them freely.
19.5. Force majeure. We are not liable for failures caused by events beyond our reasonable control, including blockchain network failures.
19.6. No relationship. Nothing in these Terms creates any partnership, joint venture, fiduciary, or advisory relationship between you and Fairshot.
